01Acceptance of Terms本規約の適用

These Terms of Service (the "Terms") govern your access to and use of the platform, website at iamaware.us, APIs, and related services (the "Services") offered by Aware Technology, Inc. ("Aware", "we", "us"). By creating an account, executing an order form, or otherwise using the Services, you agree to be bound by these Terms.

If you are entering into these Terms on behalf of a company or other entity, you represent that you have authority to bind that entity. In that case, "you" and "Customer" refer to that entity.

本利用規約（以下「本規約」）は、Aware Technology, Inc.（以下「Aware」「当社」）が提供する、プラットフォーム、ウェブサイト（iamaware.us）、API および関連サービス（以下「本サービス」）の利用に適用されます。アカウントの作成、注文書の締結、その他の方法による本サービスのご利用をもって、本規約に同意いただいたものとみなします。

お客様が法人その他の団体を代理して本規約に同意される場合、当該団体を拘束する権限を有することを表明したものとみなされ、本規約における「お客様」「お客様の組織」は当該団体を指します。

02The Services本サービスの内容

Aware provides an AI-native risk management platform that tracks government and policy actions, maps them to your business exposure, and delivers a recommended Next Move. The specific scope of access, included features, jurisdictions covered, and usage limits are defined in your order form or subscription plan.

Aware は、政府や政策の動きをモニタリングし、お客様の事業エクスポージャーと突合し、推奨されるアクション（Next Move）をお届けする、AI ネイティブのリスクマネジメント・プラットフォームを提供します。アクセス範囲、提供機能、対象管轄、利用量の上限等の具体的な内容は、お客様の注文書または契約プランにより定めるものとします。

Aware analyzes information from public-record sources published by government agencies. The Services are not legal, tax, accounting, trade compliance, or investment advice. You remain responsible for your own decisions and for engaging qualified professionals where appropriate.

Aware は、政府機関が公開する 公的情報 をもとに分析を行います。本サービスは、法務、税務、会計、貿易コンプライアンス、または投資に関する助言を構成するものではありません。お客様は、自らの意思決定について引き続き責任を負い、必要に応じて適切な専門家の助言を求めるものとします。

03Accountsアカウント

• You must be at least 18 years old and authorized to act for your organization.
• You are responsible for maintaining the confidentiality of credentials and for all activity under your account.
• You will promptly notify us of any suspected unauthorized access.
• お客様は満 18 歳以上であり、所属組織を代理する権限を有している必要があります。
• アカウント認証情報の機密性の維持、およびご自身のアカウントで行われる全ての操作について、お客様が責任を負うものとします。
• 不正アクセスの疑いがある場合には、速やかに当社にご連絡いただくものとします。

04Fees & payment料金および支払

Subscription fees, term length, renewal terms, and any usage-based charges are set forth in your order form. Fees are exclusive of taxes and are non-refundable except as expressly stated. Unless otherwise agreed, invoices are due within 30 days of the invoice date; overdue amounts may accrue interest at the lesser of 1.5% per month or the maximum permitted by law.

サブスクリプション料金、契約期間、更新条件、および従量課金は、お客様の注文書に定めるとおりとします。料金には税金は含まれず、明示的に定められた場合を除き返金の対象外です。別段の合意がない限り、請求書はその発行日から 30 日以内にお支払いいただくものとし、支払遅延額には、月 1.5% または法令上許容される最高利率のうちいずれか低い方を遅延利息として加算する場合があります。

05Acceptable use禁止行為

You agree not to, and not to allow others to:

お客様は、自ら次の行為を行わず、また第三者に行わせないことに同意するものとします：

• Reverse engineer, decompile, or attempt to derive the source code of the Services.
• Resell, sublicense, or provide the Services to a competitor for benchmarking.
• Use the Services to build a competing product or to train a competing model.
• Interfere with, disrupt, or attempt to gain unauthorized access to the Services or related infrastructure.
• Use the Services to violate any law, infringe any right, or transmit malicious code.
• 本サービスのリバースエンジニアリング、逆コンパイル、その他ソースコードを取得しようとする行為。
• 本サービスを再販、サブライセンス、または競合他社にベンチマーク目的で提供する行為。
• 本サービスを利用して競合製品を構築し、または競合モデルを学習させる行為。
• 本サービスまたは関連インフラへの妨害、業務停止、不正アクセスを試みる行為。
• 本サービスを利用して、法令違反、第三者の権利侵害、または悪意あるコードの送信を行う行為。

06Customer data & intellectual propertyお客様データおよび知的財産

Customer Data. You retain all right, title, and interest in the data you submit to the Services ("Customer Data"). You grant Aware a limited, non-exclusive license to host, process, and display Customer Data solely to provide the Services to you.

Aware IP. Aware and its licensors own the Services, including all underlying software, models, content, and documentation. No rights are granted to you other than those expressly stated here. Aggregated, de-identified data derived from operation of the Services may be used by Aware to improve and operate the Services.

お客様データ。 お客様が本サービスに提供されたデータ（以下「お客様データ」）に係る全ての権利・権原・利益は、引き続きお客様に帰属します。お客様は、本サービスをお客様に提供する目的に限り、当社に対して、お客様データのホスティング・処理・表示を行うための限定的かつ非独占的なライセンスを付与するものとします。

当社の知的財産。 本サービス（その基盤となるソフトウェア、モデル、コンテンツ、ドキュメント等を含みます）に係る権利は、当社およびそのライセンサーに帰属します。本規約に明示的に定められた権利を除き、お客様に対して権利が付与されることはありません。当社は、本サービスの運営から得られる、集約化・非識別化されたデータを、本サービスの改善および運営目的で利用できるものとします。

07Confidentiality秘密保持

Each party will protect the other party's Confidential Information with at least the same degree of care it uses to protect its own confidential information (and no less than reasonable care), and will use it only as needed to perform under these Terms. Confidential Information does not include information that is publicly known, independently developed, or rightfully received from a third party without confidentiality obligations.

各当事者は、相手方の秘密情報について、自己の秘密情報に対して払うのと同等以上の注意（少なくとも合理的な注意）をもって保護し、本規約に基づく履行に必要な範囲においてのみ使用するものとします。秘密情報には、公知である情報、独自に開発された情報、または秘密保持義務を負わずに第三者から正当に受領した情報は含まれません。

08Warranties & disclaimers保証および免責

Aware will provide the Services in a professional manner consistent with generally accepted industry practice. EXCEPT AS EXPRESSLY STATED, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, including merchantability, fitness for a particular purpose, accuracy, completeness, and non-infringement. Aware does not warrant that the Services will be uninterrupted or error-free, that outputs are exhaustive, or that any specific outcome will be achieved.

当社は、業界における一般的な慣行に則り、専門的な方法で本サービスを提供します。本規約に明示的に定められた場合を除き、本サービスは「現状のまま」「提供可能な範囲で」提供されるものであり、明示・黙示を問わず、いかなる保証も行いません。これには、商品性、特定目的への適合性、正確性、網羅性、および第三者の権利を侵害しないことの保証が含まれます。当社は、本サービスが中断・エラーなく稼働すること、出力が網羅的であること、または特定の結果が達成されることを保証するものではありません。

09Limitation of liability責任の制限

TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, or for any lost profits, lost revenue, lost data, or business interruption, even if advised of the possibility. Each party's total aggregate liability arising out of or relating to these Terms will not exceed the fees paid or payable by Customer to Aware in the 12 months preceding the event giving rise to the claim.

適用法令により認められる最大限の範囲において、いずれの当事者も、間接損害、付随的損害、特別損害、結果損害、または懲罰的損害について責任を負わないものとします。これには、逸失利益、収益の減少、データの喪失、事業中断による損害が含まれ、当該損害の発生可能性につき事前に通知を受けていた場合も同様とします。本規約に起因または関連して各当事者が負う責任の総額は、損害発生事由が生じた日の直前 12 か月間にお客様が当社に支払った、または支払うべき料金の額を上限とします。

10Term & termination期間および終了

These Terms remain in effect for the subscription term specified in your order form and renew automatically unless terminated as described therein. Either party may terminate for material breach not cured within 30 days of written notice. Upon termination, your access to the Services will cease, outstanding fees become immediately due, and Aware will delete Customer Data within 30 days unless retention is required by law.

本規約は、お客様の注文書に定めるサブスクリプション期間にわたり効力を有し、注文書に別段の定めがない限り自動更新されるものとします。重要な違反が書面通知から 30 日以内に是正されない場合、いずれの当事者も本規約を解除することができます。本規約終了時、お客様の本サービスへのアクセスは停止し、未払料金は直ちに支払期日が到来します。当社は、法令上別途要請される場合を除き、お客様データを 30 日以内に削除します。

11Governing law & venue準拠法および裁判管轄

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. The state and federal courts located in Delaware will have exclusive jurisdiction over any dispute arising out of or relating to these Terms, and each party consents to personal jurisdiction in those courts.

本規約は、米国デラウェア州法に準拠し、同法に従って解釈されるものとします（同州の抵触法規定は除きます）。本規約に起因または関連する一切の紛争については、デラウェア州所在の州裁判所および連邦裁判所を専属的合意管轄裁判所とし、各当事者は当該裁判所の対人管轄に同意するものとします。

12Changes to these Terms本規約の変更

We may update these Terms from time to time. If we make material changes, we will provide reasonable advance notice by email or in-product banner. Continued use of the Services after the effective date of the updated Terms constitutes acceptance of the changes.

当社は、本規約を随時更新する場合があります。重要な変更を行う場合には、合理的な事前通知を、メールまたはサービス内のバナーによりお知らせします。変更後の規約の発効日以降も本サービスを引き続きご利用いただくことにより、変更後の規約に同意いただいたものとみなします。
